Terms of Service

Effective October 16, 2026

These Terms of Service (the “Terms”) govern your access to and use of the website at paimusic.ca and the PaiMusic studio, including the Assistant (together, the “Service”), operated by PaiMusic (“PaiMusic,” “we,” “us” or “our”). By accessing or using the Service, you agree to be bound by these Terms and acknowledge our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least thirteen (13) years of age to use the Service. If you are under the age of majority in your province, state or country of residence, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms on your behalf.

2. Accounts

You must provide a valid email address that you control and keep your password confidential. You are responsible for all activity that occurs under your account. You must notify us promptly at privacy@paimusic.ca if you suspect unauthorized use of your account. You may delete your account at any time from the Settings menu in the studio.

3. Beta Service

The Service is currently offered as a beta. Features may change, be suspended or be discontinued, and the Service may contain errors or experience interruptions. Access to the Assistant is limited to accounts we approve and is subject to a monthly usage limit. We may modify or discontinue any part of the Service at any time. Before discontinuing the studio, we will make reasonable efforts to give you enough notice to export your Pieces.

4. Your Content

You retain all rights, including copyright, in the music and other content you create in the Service, including suggestions from the Assistant that you accept (together, “Your Content”). Scores you create are referred to in these Terms as “Pieces.” We do not claim ownership of Your Content. You grant us a limited, non-exclusive, royalty-free licence to process Your Content solely as necessary to operate the Service for you, such as transmitting a Piece to the Assistant when you submit a request about it.

The Assistant may generate the same or similar suggestions for other users, and we do not represent that any output is unique to you. You represent that you hold the rights necessary to use any music you import into or use with the Service.

5. Storage of Your Content

Your Pieces are stored in your browser on your device and are not stored by us. We cannot recover Pieces that are lost because your browser’s data is cleared or your device is lost or damaged. You are responsible for exporting and keeping copies of any content you wish to preserve.

6. AI-Generated Suggestions

Suggestions from the Assistant are generated automatically and may be inaccurate or unsuitable. No suggestion changes your score unless you accept it. You are responsible for reviewing suggestions before relying on them.

7. Acceptable Use

You agree not to do any of the following.

• Use the Service in violation of any applicable law or the rights of others.
• Interfere with, disrupt or overload the Service, or circumvent its security or usage limits, including the Assistant’s monthly limit.
• Access the Service by automated means, or resell or sublicense access to it.
• Share your account with any other person.

8. Intellectual Property

The Service, including its software, its design and the PaiMusic name and logo, is owned by PaiMusic and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose. No other rights are granted.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms. Sections 4, 10, 11 and 13 survive any termination.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, PaiMusic disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will be uninterrupted, secure or free of errors.

11. Limitation of Liability

To the fullest extent permitted by law, PaiMusic will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or goodwill, arising out of or relating to the Service. PaiMusic’s total liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of the amounts you paid to PaiMusic in the twelve (12) months preceding the claim and one hundred Canadian dollars (C$100). Nothing in these Terms excludes or limits any right you may have under applicable consumer protection legislation that cannot be excluded or limited by agreement.

12. Changes to These Terms

We may amend these Terms from time to time. We will post the amended Terms on this page with a revised effective date and, for material changes, will notify account holders before the changes take effect. Your continued use of the Service after the amended Terms take effect constitutes your acceptance of them.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You and PaiMusic submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for any dispute arising out of or relating to these Terms or the Service, except where applicable consumer protection law provides otherwise.
